Terms of Service

1. Acceptance of Terms

By accessing or using Zentriq's services, including Zentriq Agent for Microsoft Dynamics 365 Business Central, the Zentriq web dashboard, and the Zentriq PunchOut Chrome extension (collectively, the “Services”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Services.

The Services are provided by Zentriq Software, a Swiss sole proprietorship of Guillaume Fernandes (UID CHE-228.383.878), registered in the Canton of Vaud, Switzerland.

2. Description of Services

Zentriq Agent: An AI assistant embedded in Microsoft Dynamics 365 Business Central that allows users to query and interact with Business Central data using natural language, with built-in document capture for invoices, credit memos, and expenses.

Zentriq PunchOut (Chrome Extension): A browser extension that captures cart data from e-commerce websites and creates purchase documents in Business Central.

3. Account and Eligibility

• You must sign in with a valid Microsoft account
• You must be authorized to access the Business Central environments you connect
• You are responsible for all activity under your account
• You must be at least 18 years old or have parental/guardian consent

4. Plans and Billing

4.1 Free Plan

The free plan includes limited monthly usage (5 cart captures, 20 agent messages). No payment is required.

4.2 Paid Subscriptions

• Paid subscriptions are billed via Stripe on a monthly or yearly cycle, depending on the plan you choose at checkout. Yearly plans are paid upfront and include a discount versus equivalent monthly billing.
• Prices are displayed in CHF on the pricing page and exclude VAT. Applicable VAT (Swiss VAT for Swiss customers, EU VAT for EU consumers, etc.) is added automatically at checkout based on your billing location, in accordance with Swiss and EU tax regulations.
• Subscriptions renew automatically at the end of each billing cycle unless cancelled.
• You can cancel anytime — access continues until the end of the billing period (no immediate cut-off).
• Per-seat plans (Pro, Business, Ultra) are billed by quantity: each active member of your organization counts as one seat.

4.3 Refunds — Subscriptions

We offer a 14-day money-back guarantee for first-time subscribers (one per customer). Within this window, you can request a full refund of the most recent subscription charge — no questions asked. After 14 days, refunds are issued at our discretion on a pro-rata basis (e.g., for documented service outages or billing errors). Refund requests should be sent to support@zentriqsoftware.com.

4.4 Credit Packs (one-time purchases)

In addition to subscriptions, we sell one-time credit packs for Document Capture and PunchOut (Starter, Business, Enterprise tiers). These are charged once via Stripe, do not auto-renew, and the credits never expire.

• Refunds on credit packs: Available within 14 days of purchase only if no credits have been consumed. Once any credit has been used to process a document or capture, the pack becomes non-refundable.
• Credits cannot be transferred between organizations.
• Credits remain valid as long as your organization exists in our system.

5. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble the Services
• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to other users' data
• Overload, disrupt, or abuse the Services infrastructure
• Resell or redistribute the Services without authorization
• Use automated tools to scrape or extract data from the Services

6. Intellectual Property

All content, software, and technology comprising the Services are owned by Zentriq Software or its licensors. You retain ownership of your Business Central data and any content you provide.

7. AI Processing Disclaimer

Our AI-powered features (cart parsing, Zentriq Agent) use large language models (Claude by Anthropic). While we strive for accuracy:

• AI-generated results should be reviewed before use
• We are not liable for errors in AI parsing or agent responses
• Cart data sent for parsing is not stored or used for AI training

8. Business Central Integration

The Services interact with your Business Central environment through standard APIs and a lightweight AL extension. You acknowledge that:

• You are responsible for proper BC configuration and permissions
• We are not liable for issues caused by BC configuration, customizations, or third-party extensions
• Data modifications made through our Services (e.g., requisition worksheet lines) are your responsibility to verify

9. Limitation of Liability

To the maximum extent permitted by law, Zentriq Software shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Services. Our total liability is limited to the amount paid by you in the 12 months preceding the claim.

10. Service Availability

We aim for 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance with reasonable notice. We reserve the right to modify or discontinue features with 30 days' notice.

11. Termination

Either party may terminate at any time. We may suspend your account for violation of these terms. Upon termination, your right to use the Services ceases immediately.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Switzerland, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Canton of Vaud, Switzerland.

13. Changes to Terms

We may update these Terms with 30 days' notice via email or in-app notification. Continued use constitutes acceptance.
